Terms of Service

1. Overview of Services

Taso Labs is a verification platform for autonomous AI agents. The Services let teams turn production agent traces into deterministic replay environments, re-execute model, prompt, tool, or MCP changes against a pinned baseline, and produce signed change-impact reports.

2. Eligibility

The Services are intended for businesses and individuals 18 years or older (or of legal age in your jurisdiction). It is your responsibility to ensure your use complies with all local laws and regulations.

3. Account and Access

Access to the Services is provided through pilot engagements, private beta accounts, or other commercial arrangements. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at support@tasolabs.com if you suspect unauthorized access.

4. Customer Content and Ownership

You retain all rights to the traces, prompts, tool definitions, datasets, and other materials you submit to the Services (“Customer Content”). You grant Taso Labs a limited, non-exclusive, royalty-free license to use Customer Content solely to:

• Operate the Services, including executing replays and generating reports
• Provide support, debug platform issues, and maintain service quality
• Produce aggregated, de-identified analytics for product improvement

We do not use Customer Content to train third-party foundation models. We do not sell Customer Content.

5. Acceptable Use

You may not:

• Reverse-engineer, decompile, or attempt to extract source code from the Services beyond what is permitted by law
• Submit content that infringes third-party rights or violates applicable law
• Use the Services to develop or operate a directly competing verification or replay product
• Interfere with platform operations, exploit vulnerabilities, or circumvent rate limits and access controls
• Use the Services for illegal activity

We reserve the right to suspend or terminate access for accounts found in violation of these rules.

6. Fees

Pilot engagements and commercial subscriptions are billed according to a separate order form or written agreement. In the absence of such an agreement, the Services are provided free of charge with no service-level commitments.

7. No Warranty

All Services are provided “as is.” We make no guarantees regarding uptime, accuracy of results, or fitness for a particular purpose beyond what is expressly written in a signed agreement. You use the platform at your own risk.

8. Limitation of Liability

To the fullest extent allowed by law, Taso Ventures, Inc. shall not be liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of revenue, profits, or business opportunity
• Production incidents downstream of any deploy decision informed by a Taso Labs report
• Platform failures, third-party service outages, or model provider issues

Our aggregate liability is strictly limited to the amount you paid us for the Services in the twelve months preceding the event giving rise to the claim, or $100, whichever is greater.

9. Governing Law

These Terms shall be governed by the laws of the State of Delaware, USA, excluding its conflicts of law rules. Any dispute shall be brought in courts located in Delaware.

10. Modifications

We may amend these Terms at any time. Material changes will be announced via email or on our website. Continued use after the effective date constitutes acceptance.
